Welcome to Qsinc Limited ("Qsinc", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website getqsinc.com, mobile applications, APIs, and any related digital platforms, services, features, or content provided by us (collectively, the "Platform" or "Services"). 1.1 Binding Agreement By accessing, browsing, or using the Platform, or by registering an account with Qsinc, you ("User", "you", or "your") acknowledge that you have read, understood, and explicitly agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. IF YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY. 1.2 Eligibility To access or use our Platform, you represent and warrant that: • You are a natural person of at least eighteen (18) years of age, or have the legal capacity to enter into binding contracts under Rwandan law. • If you are accessing or using the Platform on behalf of a corporate entity, business, or organization, you possess the requisite authority and legal power to bind that entity to these Terms.

For clarity throughout these Terms, the following definitions apply: • "Platform" refers to the software, infrastructure, APIs, and interfaces developed and operated by Qsinc Limited. • "User Account" refers to the secure, authorized workspace created by a user to access the enterprise features of Qsinc. • "Partner" or "Client" refers to any corporate entity, insurance company, healthcare provider, or business utilizing Qsinc's technology to facilitate ecosystem transactions, claims automation, or risk profiling. • "User Content" means any data, text, files, credentials, or information uploaded, transmitted, or stored on the Platform by a user.

3.1 Services Qsinc provides advanced technological platforms, digital infrastructure, and automation tools designed to optimize operational workflows, risk processing, and data interactions within digital ecosystems. Qsinc acts purely as a technology infrastructure provider. 3.2 Account Registration To access specific enterprise functionalities of the Platform, you must complete our onboarding registration process. You agree to: • Provide true, accurate, current, and complete information ("Credentials") as prompted by the sign-up form. • Maintain and promptly update your Credentials to keep them accurate and complete. • Upload valid business registration, regulatory compliance documentation, or corporate identification if requested during verification. 3.3 Account Security Your account is strictly personal and non-transferable. You are entirely responsible for maintaining the confidentiality of your login credentials and password. You accept full responsibility for all activities, transactions, or data queries initiated under your account. You agree to notify Qsinc immediately at support@getqsinc.com of any unauthorized account activity or security breach.

4.1 Qsinc Ownership The Platform, including its underlying source code, software, algorithms, databases, architecture, website design, text, graphics, logos, and trademarks (collectively, "Qsinc Intellectual Property"), are owned by or licensed to Qsinc Limited. They are protected by Rwandan intellectual property laws, including Law N° 31/2009 of 26/10/2009 on the Protection of Intellectual Property, as well as international copyright treaties. 4.2 Limited License Subject to your compliance with these Terms, Qsinc grants you a limited, non-exclusive, non-transferable, revocable license to access the website and utilize the Platform strictly for your internal business operations. 4.3 Restrictions Users shall not, directly or indirectly: • Decompile, disassemble, reverse engineer, or attempt to derive the source code or underlying logic of any portion of the Platform. • Modify, translate, adapt, or create derivative works of Qsinc's software or branding. • Rent, lease, sublicense, resell, or distribute access to the Platform to unauthorized third parties without prior written consent from Qsinc.

You agree to use the Platform only for lawful purposes. You are strictly prohibited from engaging in any of the following activities: • Unlawful Use: Using the Platform in any manner that violates local, national, or international laws, including Rwanda's data protection regulations. • Malicious Activity: Uploading or transmitting viruses, Trojan horses, malware, or any code designed to disrupt, damage, or limit the functionality of Qsinc's infrastructure. • System Abuse: Attempting to gain unauthorized access to our servers, user accounts, databases, or networks through hacking, scraping, password mining, or brute-force attacks. • Data Scraping: Utilizing automated systems, bots, or software to extract bulk data or content from the Platform without express written authorization. • Harassment & Misrepresentation: Impersonating any person or entity, or providing fraudulent or falsified documentation, risk metrics, or verification profiles.

6.1 Data Access Grant To enable our automation and infrastructure tools, you hereby grant Qsinc the right to access and process relevant data required to perform system functions, process inputs, or generate risk analytics. All such processing is governed strictly by our Privacy Policy. 6.2 Truthfulness of Data You represent and warrant that all data, document uploads, and operational metrics submitted to the Platform are accurate, verifiable, and legally acquired. Qsinc does not independently verify the authenticity of all user-submitted items and is not liable for errors, fraudulent submissions, or financial discrepancies arising from incorrect inputs provided by users or partners.

PLEASE READ THIS SECTION CAREFULLY, AS IT LIMITS THE LEGAL LIABILITY OF QSINC LIMITED. 7.1 "As-Is" Basis The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 7.2 Service Interruptions Qsinc does not warrant that the Platform will be uninterrupted, error-free, completely secure, or free from temporary data delays. We reserve the right to modify, suspend, or take down portions of the Platform for scheduled maintenance, updates, or emergency infrastructure patches without prior liability. 7.3 Damages Cap To the maximum extent permitted by applicable law, in no event shall Qsinc Limited, its directors, shareholders, employees, or tech partners be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of corporate profits, business interruption, loss of data, loss of goodwill, or other intangible losses resulting from: • Your access to, use of, or inability to access or use the Platform. • Any unauthorized access, alteration, or breach of your data transmissions, unless directly caused by Qsinc's gross negligence. • Factual errors or processing variances resulting from data inputs supplied by partners, insurance companies, or third-party integrations.

You agree to defend, indemnify, and hold harmless Qsinc Limited, its corporate affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, costs, or legal fees arising out of or in any way connected to: • Your breach or violation of these Terms. • Your improper or unauthorized use of the Platform or Services. • Your violation of any third-party rights, including intellectual property, privacy, or data protection rights under Rwandan law.

9.1 Right to Terminate Qsinc reserves the right, in its sole discretion and without prior penalty or liability, to suspend or terminate your User Account and access to the Platform for any reason, including if we detect a breach of these Terms, suspected fraudulent activity, or non-compliance with regulatory frameworks. 9.2 Effect of Termination Upon termination of your account, your right to access and use the platform ceases immediately. Any clauses within these Terms which by their nature should survive termination shall survive, including Section 4 (Intellectual Property Rights), Section 7 (Limitation of Liability), Section 8 (Indemnification), and Section 10 (Governing Law and Dispute Resolution).

10.1 Governing Law These Terms, your access to the Platform, and any legal disputes arising out of your relationship with Qsinc Limited shall be governed by, construed, and enforced in accordance with the laws of the Republic of Rwanda. 10.2 Amicable Settlement In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through direct corporate consultations conducted in good faith. 10.3 Formal Adjudication If an amicable settlement is not reached within thirty (30) days from when the dispute notice was served, the matter shall be submitted to the exclusive jurisdiction of the competent commercial courts of Kigali, Rwanda.

Qsinc reserves the right to revise, update, or modify these Terms at any time. When updates are made, we will adjust the "Last Updated" date at the top of this page. If the modifications are substantial, we will notify registered users via email or place a prominent announcement notice on our Platform interface. Your continued access or use of the Platform following the posting of modifications constitutes your binding acceptance of the revised Terms.
